Publisher Agreement

The name of your company that would appear on legal documents or contracts.
The official mailing address of your organization.
The domain names of websites considered in the context of this agreement, i.e. those that will have advertising placed on them.
EIN or TID of your organization.
The email address to which correspondence from Masterworks should be directed.

This Agreement regulates the relations between the Publisher (hereinafter – “Publisher”, “You”) and Masterworks Inc. (hereinafter – “Masterworks”) located at 19462 Powder Hill Pl NE, Poulsbo, WA 98370. The Agreement comes into the enforcement the moment a Publisher agrees upon, fills out, and submits this registration form. As well, it administers and controls advertising matters served on Websites and platforms that belong to the Publisher.

Material for Advertising

Masterworks will send the Publisher code to be placed on the website or separate pages for delivering the advertising. Please do not modify this code unless the parties agree on that in writing. The code provided by Masterworks should not be used or shared on any other source except the webpage or the site it was placed on initially, including the chat rooms, emails or newsgroups as it may result in the wrong code execution.

Masterworks will be available to help with the installation of the code. In case some sort of a technical problem occurs and obstructs the Publisher from obtaining Advertising Materials from servers, the Publisher should terminate the delivery and immediately contact Masterworks on the first day the problem occurs. In such a case, the delivery should not be restarted until Masterworks gives the approval for it; this is to make sure the problem is fully resolved. If trouble persists, Masterworks may organize the direct delivery of the advertising materials for the Publisher.

Masterworks runs ads on behalf of nonprofit organizations. Advertising material will not be previously approved by the Publisher. If the Publisher sees and ad they don’t want on their website, they may contact Masterworks and ask them to remove it from their site.

Payment

Masterworks will pay Publisher $3.00 for every 1,000 impressions served on Publisher’s website. Publisher will be given login credentials to a shared reporting center that will report the number of tracked impressions. Masterworks will pay Publisher on the 15th of each month for the previous month’s impressions with a minimum payment of $50.

Taxes

The Publisher is fully responsible for paying its own taxes and the consequences of dealing with them, Masterworks thereof cannot be held accountable for such matters. Masterworks will provide the Publisher with all necessary information concerning the taxation procedures and a 1099 Form for earnings. Federal Employee Identification Number or Social Security should be given to Masterworks if the Publisher is based in US. This kind of information will only be needed for tax reporting and identification. Note that for accounts missing that information, payments will be impossible to execute. For International Publishers, filling necessary taxation forms might also be obligatory.

Click Spam and Fraud

The Publisher acknowledges that any fraudulent activity aimed at augmenting the number of clicks is strictly prohibited and can bear severe consequences, regardless of intent, means or form of execution. As Masterworks’ advertising platform is in charge of counting the total number of impressions served and the revenue generated, the total sum that should be paid to the Publisher will be defined referring to the system’s indications combined with Publisher’s data assessed by Masterworks. Prohibited methods include: manipulations with click destinations for ad banners, redirection of users to different pages, browser auto-spawning, blind text links, other practices determined by Masterworks as harmful or unacceptable and that affect impressions or click-through rates. Automatically reloading pages the ad placement is also not acceptable. Please do not ask the users to click on the certain areas of the website or incentivize them to click on the advertising materials before they visit your website. Clicking on different links than those provided by Masterworks’ Advertising Material or applying artificial click/visit boosters may cause temporary suspension and may result in the account and all payments terminating. The decision of the termination is solely and absolutely at the discretion of Masterworks.

Masterworks reserves the right to make occasional website audits on Publisher’s website or platforms in order to ensure the inventory is compliant to the rules. If during the course of such inspection a violation will be discovered by Masterworks Policy Team, the account of such Publisher may be terminated and the Advertising Materials will not be served at such site. Masterworks will also not be accountable for compensating the revenue to the Publisher for the ads served while in violation.

Representations and Warranties

Publisher guarantees to Masterworks party that: the products represented on the website are legal to use and distribute. All the products and services provided through the site are legal and do not violate the copyright, trademarks, or other rights and laws. The website serving the Advertising Materials will not be serving prohibited material which is listed in Section 4 of this Agreement; The websites are normally functioning, safe, and free of malware and viruses that can potentially harm a person's system or software. The Publisher is familiar with all the laws and legislation that regulates the online activities and their website and business are fully compliant with them. The Publisher is eligible to accept the Agreement and is able to maintain the obligations bestowed herein.

Termination

The terms of the Agreement containing therein are valid during the one (1) year starting for the date it was signed below. The Agreement may be extended by default for the next year unless one of the parties notifies the other in writing 30 days prior to the contract officially ends.Masterworks’s HTML code should be removed from the Publisher’s website the moment the written notice about termination has been delivered.
